Terms of Service

We are Fairly Human LLC ("Fairly", "we", "us"), a California limited liability company. These Terms of Service (the "Terms") are a legally binding agreement between you and us covering your use of fairlyapp.com, app.fairlyapp.com, and every product and service we provide that links to these Terms (together, the "Services").

By using the Services you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

What Fairly is — and what it is not

Fairly is a software tool that helps two people work toward their own agreement, using an artificial-intelligence mediator that speaks with each side privately. It is a structured way to communicate — nothing more, and nothing less. Understanding its limits is a condition of using it:

Fairly is not a law firm, a lawyer, or a licensed mediator, and does not provide legal advice. No attorney–client, mediator–client, counselor–client, or fiduciary relationship of any kind is created by using the Services. Nothing the AI mediator says is legal, financial, medical, or professional advice, and you should not treat it as such.

Who may use Fairly

You must be at least 18 years old (or the age of majority where you live, whichever is higher) and legally able to enter into these Terms. You may not use the Services if you are located in, ordinarily resident in, or organized under the laws of a jurisdiction subject to comprehensive sanctions or embargoes, or if you are a blocked or restricted party under applicable sanctions or export-control lists.

Your account

Fairly uses passwordless sign-in: we email you a single-use link, and possession of your email inbox is your credential. You are responsible for the security of that inbox and for everything done through your account. Keep your account email accurate; tell us immediately at info@fairlyapp.com if you believe your account has been accessed without authorization.

You may ask us to delete your account at any time by contacting privacy@fairlyapp.com. Deletion is handled as described in our Privacy Policy.

Mediations

Inviting another person

When you start a mediation and invite someone, you represent that:

Every statement of a matter is reviewed before anything is sent, and we may refuse to create or deliver a mediation that does not appear to be a genuine dispute. The invited person is always free to decline, and declining is final for that mediation.

Consent and the buffer

The mediator is the only voice in a Fairly mediation. What you write privately is never shown to the other participant; they see only mediator-authored content, and nothing is agreed without every participant's explicit acceptance. This design is described in detail in our Privacy Policy and FAQ.

Endings, pauses, and deletion

Either participant may pause or permanently end a mediation at any time. When a mediation reaches a final state — resolved, declined, ended, or expired — the private working content of that mediation is permanently deleted and cannot be restored by anyone, including us. If the mediation resolved, the agreement record is retained and provided to both participants: the agreement text, when it was entered, and the names and email addresses of both parties — this record survives even if a participant later deletes their account, because an agreement without its parties is no record at all. Mediations that are inactive for an extended period expire automatically; the expiry date is shown in the app and can be extended from inside a mediation. Deletion at the end of a mediation is a feature, not a defect — do not use Fairly as a system of record for anything other than the final agreement.

Fees and payment

Parts of the Services are free, and parts are paid. Being invited into a mediation and participating in it is free. Starting mediations beyond your free allowance requires payment. Prices, billing terms, and any renewal terms are shown before you buy, and by purchasing you authorize the charges shown, including applicable taxes. If we offer subscriptions, they renew automatically until cancelled, and you can cancel at any time with effect from the end of the current billing period.

Because paid mediations consume real computational work when used, fees are generally non-refundable once a paid mediation has begun, except where required by law. If something went wrong, contact info@fairlyapp.com — we would rather make it right than argue about it. We may change our prices; changes apply prospectively and never to anything you have already paid for.

We may change, limit, or withdraw free portions of the Services at any time. Nothing offered for free entitles you to its continued availability.

Acceptable use

You agree not to:

We may suspend or terminate access, cancel mediations, or take other appropriate measures for violations of these Terms — immediately and without notice where we reasonably consider it necessary (fraud, safety, unlawful activity, legal requirements), and otherwise with notice and a reasonable opportunity to remedy. You may appeal by contacting us.

Your content and our license

You own what you write. By submitting content to the Services you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display that content solely to operate and provide the Services — including processing it with our AI providers as described in the Privacy Policy — and for no other purpose. This license ends when your content is deleted, which for private mediation content happens automatically when a mediation ends.

You represent that you have the rights to what you submit and that it does not violate anyone else's rights. If you send us feedback, ideas, or suggestions, we may use them to improve the Services without obligation or compensation to you.

We retain all intellectual-property rights in the Services and our materials. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal purposes. You may refer to Fairly factually, but may not use our name, logo, or brand in a way that implies endorsement without our written consent.

AI features

The mediator and related features are powered by artificial intelligence, including large language models operated by third-party providers. By using the Services you acknowledge that: AI output is probabilistic and may be inaccurate or incomplete; you are responsible for reviewing anything before you rely on or accept it; and the human participants — never the AI — make every decision that matters. The AI never decides an outcome, never shares content between participants without the author's consent path being followed, and is never used for social scoring, manipulation, or any purpose that violates applicable law. To the maximum extent permitted by law, we disclaim liability for errors in AI-generated content.

Third-party services

The Services rely on third-party providers (hosting, AI models, email delivery, payments, analytics — listed in our Privacy Policy). We do not control them and are not responsible for their acts or omissions. Where a problem originates with a third-party provider, our responsibility is limited to commercially reasonable efforts to resolve or mitigate the impact. Links to external sites are provided for convenience; their content and policies are their own.

If you believe content on the Services infringes your copyright, send a notice compliant with 17 U.S.C. § 512(c)(3) (identification of the work, the location of the allegedly infringing material, your contact information, good-faith and accuracy statements, and your signature) to our designated agent: Legal, Fairly Human LLC, legal@fairlyapp.com, 2261 Market St STE 10018, San Francisco, CA 94114. Counter-notices may be sent to the same address. Knowing material misrepresentations may create liability under Section 512(f).

Changes to the Services and these Terms

We are a young product and the Services will change — features may be added, modified, or removed at any time. We may also update these Terms. For material changes we will give you reasonable advance notice (for example by email or in-app notice), and your continued use after the effective date constitutes acceptance. Changes required by law may take effect immediately. If we discontinue the Services entirely we will give reasonable notice where practicable.

Disclaimer of warranties

The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing. We do not warrant that the Services will be uninterrupted, error-free, or secure; that defects will be corrected; that any mediation will resolve; or that any content generated through the Services is accurate, complete, or suitable for any purpose.

Limitation of liability

To the maximum extent permitted by law: (a) we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, goodwill, opportunity, or data, arising out of or relating to these Terms or the Services, under any theory of liability, even if advised of the possibility; and (b) our total aggregate liability will not exceed the greater of (i) the amounts you paid us for the Services in the twelve (12) months before the event giving rise to the claim, or (ii) one hundred U.S. dollars (US $100).

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be limited under applicable law. Some jurisdictions do not allow certain limitations; where that applies, our liability is limited to the maximum extent the law permits.

Indemnification

You agree to indemnify and hold harmless Fairly Human LLC and its officers, members, employees, and agents from claims, losses, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your violation of law or of any third party's rights, your content, or any dispute between you and another participant. We may assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate. This obligation survives termination and applies only to the maximum extent permitted by law.

Disputes with us

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Before filing any claim, you agree to first send a written description of the dispute to legal@fairlyapp.com and give us thirty (30) days to try to resolve it informally. If we cannot, any claim must be brought in the state or federal courts located in San Francisco County, California, and you consent to their jurisdiction. To the extent permitted by law, disputes must be brought individually — not as part of a class, representative, or consolidated action. We may seek injunctive relief for unauthorized use of the Services, confidentiality breaches, or IP infringement without first following the informal process. Nothing in this section limits any non-waivable rights you have under applicable consumer-protection law.

For clarity: this section is about disputes between you and us. Disputes between you and another mediation participant are yours; we are not a party to them and have no obligation to adjudicate, enforce, or intervene in them.

The usual mechanics

If a provision of these Terms is found unenforceable, it is limited to the minimum extent necessary and the rest remains in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets, without reducing your rights. These Terms, with the Privacy Policy, are the entire agreement between us regarding the Services. Notices to you may be sent to your account email; notices to us go to the addresses below. Provisions that by their nature should survive termination do. Events outside our reasonable control (outages, disasters, third-party failures) excuse our performance for their duration.
